Non Compete Clause

Non-Compete, Non-Solicitation, and Dispute Resolution Agreement

For the protection of Independent Service LLC’s clients, trade secrets, and goodwill, all employees, contractors, lessees, and vendors agree that during their engagement with the company and for one year after their engagement ends, they will not:

Directly or indirectly own, manage, operate, or perform services for any competing business within a 50-mile radius of any client we currently serve.

Solicit or accept business from any client or prospective client that Independent Service LLC provided services to during the last 12 months of their engagement.

Buyout Option:

Any party may buy out of the non-compete restriction by paying Independent Service LLC a one-time fee of ten thousand dollars ($10,000).

Binding Arbitration:

Any dispute arising from this agreement shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover its attorney fees and costs.

Any violation of the non-compete or non-solicitation terms will result in immediate liquidated damages of five thousand dollars ($5,000), in addition to any other legal remedies available to the company.
